End-User License Agreement

This End-User License Agreement (“Agreement”) is a legal agreement between Match Strike Digital LLC, doing business as Review Gopher (“Review Gopher,” “we,” “us,” or “our”), and the individual or legal entity accessing or using the Review Gopher application and services (“User,” “you,” or “your”).

This Agreement governs your right to access and use the Review Gopher software application, website, dashboards, features, integrations, APIs, and related services (collectively, the “Service”).

By creating an account, purchasing a subscription, connecting a third-party account, clicking to accept this Agreement, or otherwise accessing or using the Service, you agree to be legally bound by this Agreement. If you are entering into this Agreement on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to this Agreement.

If you do not agree to this Agreement, you may not access or use the Service.

1. DEFINITIONS

1.1 “Account”

“Account” means the Review Gopher account established for you or your organization to access the Service.

1.2 “Authorized User”

“Authorized User” means an individual whom you authorize to access or use the Service through your Account.

1.3 “Customer Data”

“Customer Data” means any information, data, content, contact information, customer records, communications, review information, or other materials that you or your Authorized Users submit to, upload to, transmit through, or otherwise provide to the Service.

1.4 “Third-Party Service”

“Third-Party Service” means any external service, platform, application, API, software, or provider that you connect to or use with Review Gopher, including Google Business Profile and supported CRM, communication, payment, social media, or other integration providers.

1.5 “Subscription”

“Subscription” means the paid or trial subscription plan that provides you with access to specified features and usage limits of the Service.

2. LICENSE GRANT

Subject to your compliance with this Agreement and payment of all applicable fees, Review Gopher grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use the Service during the applicable Subscription period.

The license granted under this Agreement is solely for your internal business purposes and is limited to the features and usage limits associated with your Subscription.

The Service is licensed, not sold.

Except for the limited license expressly granted in this Agreement, Review Gopher and its licensors retain all right, title, and interest in and to the Service and all related intellectual property.

3. ELIGIBILITY AND AUTHORITY

You may use the Service only if you are legally capable of entering into a binding agreement.

If you access or use the Service on behalf of a business, company, organization, or other legal entity:

- you represent that you are authorized to enter into this Agreement on its behalf;

- that entity will be considered the User under this Agreement; and

- your use of the Service will bind that entity to this Agreement.

You are responsible for ensuring that all information provided to Review Gopher is accurate, complete, and current.

4. ACCOUNT REGISTRATION AND SECURITY

You must create and maintain an Account to access certain portions of the Service.

You are responsible for:

- maintaining the confidentiality of your login credentials;

- restricting access to your Account;

- maintaining accurate Account information;

- authorizing only appropriate Authorized Users;

- all activity occurring through your Account; and

- promptly notifying Review Gopher of any suspected unauthorized access or security incident.

You may not sell, transfer, rent, sublicense, or otherwise provide your Account to another party except as expressly permitted by the Service.

You are responsible for ensuring that your Authorized Users comply with this Agreement.

5. SUBSCRIPTIONS AND USAGE LIMITS

Certain features of the Service require an active Subscription.

Each Subscription may be subject to specific limits, including limits relating to:

- review requests;

- contacts;

- messages;

- connected business locations;

- connected third-party accounts;

- API usage;

- automation activity; and

- other Service functionality.

You may not circumvent, manipulate, or otherwise attempt to bypass any Subscription limit or technical restriction.

Where Review Gopher requires a separate Subscription for a particular business location, connected profile, or other unit of service, each applicable unit must maintain its required Subscription.

Subscription pricing, billing, cancellation, renewal, refunds, and related commercial terms are governed by the applicable Review Gopher Terms and Conditions and Subscription terms.

6. AUTHORIZED USE

You may use the Service to:

- manage customer contacts;

- send review requests and follow-up communications;

- manage review-related workflows;

- monitor review-related activity;

- connect supported business and CRM platforms;

- generate or manage review-related communications;

- manage supported social media publishing workflows;

- use supported AI-powered features; and

- perform other legitimate business activities supported by the Service.

Your use must comply with all applicable laws, regulations, platform policies, and third-party terms.

7. PROHIBITED USE

You may not use the Service to:

- violate any applicable law or regulation;

- violate the rights of another person or organization;

- send unlawful, fraudulent, deceptive, abusive, threatening, or misleading communications;

- send communications without legally required consent;

- impersonate another individual, business, or organization;

- transmit malware, viruses, malicious code, or other harmful material;

- interfere with or disrupt the Service or its infrastructure;

- attempt to gain unauthorized access to any system, account, or data;

- reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code of the Service, except where expressly permitted by applicable law;

- copy, reproduce, modify, distribute, lease, sell, sublicense, or create derivative works of the Service except as - expressly permitted by this Agreement;

- circumvent security controls, usage restrictions, or Subscription limits;

- use automated access methods that are not expressly authorized by Review Gopher;

- use the Service to collect or process information unlawfully;

- use the Service to manipulate, fabricate, or fraudulently generate customer reviews;

- interfere with the integrity or authenticity of review platforms;

- use the Service in a manner that could damage the reputation, availability, security, or operation of Review Gopher or a Third-Party Service; or

- assist another person or entity in engaging in any prohibited activity.

Review Gopher reserves the right to investigate suspected violations and take appropriate action.

8. CUSTOMER DATA

You retain ownership of Customer Data that you submit to or process through the Service.

You grant Review Gopher a limited, worldwide, non-exclusive right to host, store, transmit, reproduce, process, and otherwise use Customer Data solely as reasonably necessary to:

- provide and operate the Service;

- perform requested automations;

- process communications;

- provide integrations;

- provide customer support;

- maintain and secure the Service;

- prevent fraud, abuse, and security incidents;

- troubleshoot and improve the Service; and

- comply with applicable legal obligations.

You represent and warrant that you have all rights, permissions, consents, notices, and lawful bases necessary for Review Gopher to process Customer Data as contemplated by this Agreement.

9. CUSTOMER COMMUNICATIONS

Review Gopher may provide functionality that allows you to send communications to your customers or contacts through email, SMS, or other communication channels.

You are solely responsible for:

- determining who receives communications;

- determining the content of communications;

- obtaining legally required consent;

- maintaining evidence of consent where required;

- honoring opt-out and unsubscribe requests;

- complying with applicable messaging and marketing laws;

- complying with carrier and messaging-provider requirements; and

- ensuring that communications are accurate and lawful.

Review Gopher provides communication technology and does not independently determine whether a particular communication is legally permissible.

You acknowledge that sending communications through Review Gopher does not relieve you of your legal or regulatory responsibilities.

10. REVIEW REQUESTS AND REVIEW PLATFORM COMPLIANCE

Review Gopher may provide tools that allow you to request customer reviews or direct customers to third-party review platforms.

You are responsible for ensuring that your use of these features complies with applicable laws and the policies of the relevant review platform.

You may not use Review Gopher to:

- fabricate reviews;

- impersonate customers;

- submit reviews on behalf of customers;

- purchase or sell reviews;

- manipulate review content;

- engage in deceptive review practices; or

- otherwise violate the policies of a third-party review platform.

Review Gopher does not guarantee that a customer will submit a review or that any review request will result in a particular business outcome.

11. THIRD-PARTY INTEGRATIONS

Review Gopher may allow you to connect Third-Party Services, including business management platforms, CRM systems, communication providers, payment platforms, social media platforms, and other supported services.

When you connect a Third-Party Service, you authorize Review Gopher to access and process the information and functionality made available through the permissions you grant.

Your use of each Third-Party Service remains subject to that provider's applicable:

- terms of service;

- privacy policy;

- API terms;

- developer policies;

- usage restrictions; and

- other applicable requirements.

Review Gopher does not control Third-Party Services and is not responsible for their availability, functionality, policies, security, data accuracy, or changes.

A Third-Party Service may restrict, suspend, modify, or discontinue access to its APIs or functionality. Such changes may affect corresponding Review Gopher functionality.

12. GOOGLE BUSINESS PROFILE INTEGRATION

Review Gopher may integrate with Google Business Profile and related Google services.

When you connect a Google Business Profile, you authorize Review Gopher to access and process the information and functionality made available through the permissions granted by you.

You remain responsible for complying with Google's applicable terms, policies, and requirements.

Review Gopher is not affiliated with, endorsed by, or operated by Google unless expressly stated otherwise.

Google may change, restrict, suspend, or discontinue APIs, permissions, features, or access requirements at any time. Such changes may affect the functionality of Review Gopher.

13. CRM AND BUSINESS SOFTWARE INTEGRATIONS

Where Review Gopher supports integrations with CRM, field-service, accounting, scheduling, or other business-management platforms, the availability and functionality of each integration may depend upon the applicable third-party provider.

You are responsible for maintaining any required third-party account, permissions, subscription, authorization, or access credentials.

Review Gopher does not guarantee that a third-party integration will remain available or operate without interruption.

14. AI-POWERED FEATURES

Review Gopher may provide AI-powered features, including features that assist in generating review responses, customer messages, or other content.

AI-generated content may contain errors, omissions, inaccuracies, or inappropriate suggestions.

You are responsible for reviewing AI-generated content before using or sending it where human review is appropriate.

You should not rely on AI-generated content as a substitute for professional, legal, financial, or other specialized advice.

Review Gopher does not guarantee that AI-generated content will be accurate, complete, original, or suitable for a particular purpose.

15. INTELLECTUAL PROPERTY

The Service and all associated intellectual property, including software, source code, object code, designs, interfaces, workflows, graphics, documentation, trademarks, logos, and other materials, are owned by or licensed to Review Gopher or Match Strike Digital LLC.

Except for the limited license granted under this Agreement, you receive no ownership interest in the Service.

You may not:

- reproduce the Service;

- distribute the Service;

- sell or sublicense the Service;

- modify the Service;

- create derivative works based on the Service;

- reverse engineer the Service; or

- remove proprietary notices,

- except where expressly permitted by this Agreement or applicable law.

16. FEEDBACK

If you provide suggestions, ideas, recommendations, feature requests, or other feedback concerning the Service (“Feedback”), you grant Review Gopher a perpetual, worldwide, irrevocable, royalty-free right to use, reproduce, modify, distribute, and incorporate such Feedback into its products and services.

You understand that Review Gopher is not obligated to compensate you for Feedback.

17. SERVICE MODIFICATIONS

Review Gopher may periodically modify, update, enhance, replace, or discontinue portions of the Service.

Such changes may include:

- new features;

- removal of features;

- changes to user interfaces;

- performance improvements;

- security updates;

- technical changes;

- integration changes; or

- changes required by third-party providers.

We may make such changes as part of the continued development and operation of the Service.

Where required by applicable law or our contractual obligations, we will provide appropriate notice of material changes.

18. SERVICE AVAILABILITY

We will use commercially reasonable efforts to maintain the availability of the Service.

However, we do not guarantee that the Service will be:

- uninterrupted;

- continuously available;

- error-free;

- completely secure;

- compatible with every device or system; or

- available without interruption from Third-Party Services.

The Service may be temporarily unavailable because of maintenance, technical issues, security events, infrastructure failures, internet failures, Third-Party Service outages, API restrictions, or circumstances beyond our reasonable control.

19. DISCLAIMER OF WARRANTIES

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.

REVIEW GOPHER DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

WE DO NOT WARRANT THAT:

- THE SERVICE WILL MEET YOUR PARTICULAR REQUIREMENTS;

- THE SERVICE WILL OPERATE WITHOUT INTERRUPTION;

- THE SERVICE WILL BE ERROR-FREE;

- DATA PROCESSED THROUGH THE SERVICE WILL ALWAYS BE COMPLETE OR ACCURATE;

- THIRD-PARTY INTEGRATIONS WILL REMAIN AVAILABLE;

- REVIEW REQUESTS WILL RESULT IN CUSTOMER REVIEWS;

- YOUR BUSINESS WILL RECEIVE MORE REVIEWS;

- YOUR SEARCH ENGINE RANKINGS WILL IMPROVE;

- YOUR REVENUE OR CUSTOMER ACQUISITION WILL INCREASE; OR

- THE SERVICE WILL PRODUCE ANY PARTICULAR BUSINESS RESULT.

20. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, REVIEW GOPHER, MATCH STRIKE DIGITAL LLC, AND THEIR RESPECTIVE MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

THIS INCLUDES, WITHOUT LIMITATION, LOSS OF:

- PROFITS;

- REVENUE;

- BUSINESS;

- GOODWILL;

- DATA;

- CUSTOMERS;

- BUSINESS OPPORTUNITIES; OR

- EXPECTED SAVINGS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF REVIEW GOPHER ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE SERVICE WILL NOT EXCEED THE TOTAL FEES ACTUALLY PAID BY YOU TO REVIEW GOPHER FOR THE SERVICE DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Nothing in this Agreement excludes or limits liability that cannot lawfully be excluded or limited under applicable law.

21. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Review Gopher, Match Strike Digital LLC, and their respective members, managers, officers, employees, contractors, affiliates, licensors, and service providers from and against claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to:

- your use or misuse of the Service;

- Customer Data;

- communications sent through your Account;

- your violation of this Agreement;

- your violation of applicable law or regulation;

- your violation of a Third-Party Service's terms or policies;

- your violation of another party's rights; or

- any activity conducted through your Account that violates this Agreement.

22. CONFIDENTIALITY

Each party may receive non-public information from the other party in connection with the Service.

Each party agrees to use reasonable measures to protect the other party's confidential information and to use such information only for purposes related to the parties' relationship.

Confidential information does not include information that:

- is publicly available without violation of this Agreement;

- was lawfully known before disclosure;

- is independently developed without reference to confidential information; or

- is lawfully received from another source without a confidentiality obligation.

A party may disclose confidential information when required by law or legal process, subject to applicable notice requirements.

23. PRIVACY

Your use of the Service is also governed by the Review Gopher Privacy Policy.

The Privacy Policy explains how Review Gopher collects, uses, stores, and processes personal information.

Where you use Review Gopher to process information relating to your customers, employees, contractors, or other individuals, you are responsible for determining and satisfying any privacy, notice, consent, disclosure, or other legal requirements applicable to your use of that information.

24. DATA SECURITY

Review Gopher will implement reasonable administrative, technical, and organizational measures designed to protect information processed through the Service.

However, no electronic system or method of transmission can be guaranteed to be completely secure.

You acknowledge that you are responsible for maintaining the security of your Account credentials and for using reasonable security practices when accessing the Service.

25. SUSPENSION OF ACCESS

Review Gopher may temporarily suspend or restrict access to the Service where reasonably necessary to:

- protect the Service;

- protect users or third parties;

- prevent fraud or abuse;

- address security concerns;

- comply with applicable law;

- respond to a violation of this Agreement;

- address non-payment; or

- respond to requirements imposed by a Third-Party Service.

Where reasonably practicable, Review Gopher will provide notice before suspension and an opportunity to resolve the underlying issue.

Immediate suspension may occur where reasonably necessary to protect the Service, users, third parties, or legal compliance.

26. TERMINATION

You may terminate your use of the Service in accordance with the applicable Subscription and cancellation terms.

Review Gopher may terminate or suspend your Account if:

- you materially breach this Agreement;

- you fail to pay amounts due;

- you engage in fraudulent or abusive activity;

- you violate applicable law;

- your use creates a material security or legal risk; or

- you otherwise violate material requirements governing the Service.

Upon termination, your license to access and use the Service will immediately end unless otherwise stated.

27. EFFECT OF TERMINATION

Upon expiration or termination:

- your right to use the Service will cease;

- access to your Account may be disabled;

- outstanding payment obligations will remain payable;

- Third-Party Service connections may be disconnected; and

provisions that by their nature should survive termination will remain effective.

Subject to applicable law and our data-retention obligations, Review Gopher may delete Customer Data after termination in accordance with its applicable data-retention practices.

Where available, you are responsible for exporting any Customer Data you wish to retain before termination.

28. COMPLIANCE WITH LAWS AND THIRD-PARTY POLICIES

You agree to comply with all laws, regulations, industry requirements, and third-party policies applicable to your use of the Service.

This may include, depending on your use case:

- privacy and data-protection laws;

- email marketing requirements;

- SMS and telecommunications requirements;

- consumer-protection laws;

- advertising requirements;

- review-platform policies;

- carrier requirements;

- Google policies;

- CRM and software-provider policies; and

- applicable intellectual-property laws.

Review Gopher does not provide legal advice regarding your compliance obligations.

29. EXPORT CONTROLS AND SANCTIONS

You may not use the Service in violation of applicable export-control, trade, or economic-sanctions laws.

You represent that your use of the Service will not knowingly cause Review Gopher to violate applicable sanctions or export restrictions.

30. GOVERNING LAW AND DISPUTE RESOLUTION

This Agreement will be governed by and interpreted in accordance with the laws of the state in which Match Strike Digital LLC is organized, without regard to conflict-of-law principles.

Any dispute arising from or relating to this Agreement or the Service will be subject to the jurisdiction of the courts having appropriate jurisdiction in the applicable location, unless otherwise required by applicable law.

31. CHANGES TO THIS AGREEMENT

Review Gopher may update this Agreement from time to time.

When material changes are made, we may provide notice through the Service, by email, or by posting the revised Agreement on the Review Gopher website.

The updated Agreement will identify its effective date.

Your continued use of the Service after the effective date of the revised Agreement constitutes acceptance of the revised Agreement to the extent permitted by applicable law.

32. SEVERABILITY

If any provision of this Agreement is determined to be invalid, unlawful, or unenforceable, that provision will be enforced to the maximum extent permitted by law or modified to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

33. NO WAIVER

A failure or delay by Review Gopher in enforcing any provision of this Agreement will not constitute a waiver of its right to enforce that provision later.

34. ASSIGNMENT

You may not assign, transfer, delegate, or otherwise dispose of your rights or obligations under this Agreement without the prior written consent of Review Gopher, except where such restriction is prohibited by applicable law.

Review Gopher may assign or transfer this Agreement in connection with a merger, acquisition, corporate restructuring, sale of assets, or similar transaction.

35. ENTIRE AGREEMENT

This Agreement, together with the Review Gopher Terms and Conditions, Privacy Policy, applicable Subscription terms, and any other agreements expressly incorporated by reference, constitutes the entire agreement between you and Review Gopher concerning your license and use of the Service.

If there is a conflict between this Agreement and another agreement specifically governing a particular Review Gopher feature or service, the agreement specifically governing that feature or service will control with respect to that feature or service.

36. ELECTRONIC ACCEPTANCE

You agree that electronic acceptance of this Agreement, including by:

- checking an acceptance box;

- clicking an “Accept” or similar button;

- creating a Review Gopher Account;

- purchasing a Subscription;

- connecting a Third-Party Service; or

- accessing or using the Service after being presented with this Agreement,

constitutes your electronic acceptance of this Agreement.

To the extent permitted by applicable law, such electronic acceptance has the same legal effect as a handwritten signature.
