These Terms and Conditions (“Terms”) govern your access to and use of Review Gopher, operated by Match Strike Digital LLC (“Review Gopher,” “we,” “us,” or “our”).

By accessing or using Review Gopher, creating an account, starting a subscription, or using any Review Gopher feature, you agree to these Terms.

If you are using Review Gopher on behalf of a business or other organization, you represent that you have authority to bind that organization to these Terms. In that case, “you” and “your” refer to that organization.

1. The Service

Review Gopher provides software tools that may include:

  • Review management

  • Review request campaigns

  • Customer communication tools

  • SMS messaging features

  • Email messaging features

  • Google Business Profile integrations

  • Facebook and Instagram integrations

  • Social media scheduling and publishing

  • AI-assisted content generation

  • Analytics, reporting, and dashboard features

  • Other related tools and services

We may modify, add, suspend, or discontinue features at any time.

2. Account Registration

To use Review Gopher, you may need to create an account and provide accurate information.

You agree to:

  • Provide accurate and current account information

  • Keep login credentials secure

  • Promptly update account information if it changes

  • Notify us of unauthorized account access

  • Be responsible for all activity under your account

We are not liable for losses caused by unauthorized use of your account unless caused by our gross negligence or willful misconduct.

3. Eligibility

Review Gopher is intended for business use. You must be at least 18 years old and legally able to enter into these Terms.

Review Gopher is not intended for children under 13.

4. Customer Data and User Content

“Customer Data” means information, content, data, files, customer lists, messages, reviews, images, videos, captions, prompts, or other materials that you submit, upload, connect, transmit, publish, or process through Review Gopher.

You retain ownership of your Customer Data.

You grant Review Gopher a limited, non-exclusive, worldwide license to host, store, process, reproduce, transmit, display, publish, and otherwise use Customer Data solely as necessary to:

  • Provide Review Gopher

  • Operate connected integrations

  • Send messages you configure

  • Publish content you create or schedule

  • Generate AI-assisted content you request

  • Provide support

  • Maintain security

  • Comply with law

  • Enforce these Terms

You represent and warrant that you have all rights, permissions, licenses, and consents necessary to provide Customer Data to Review Gopher and to authorize Review Gopher to process it as described in these Terms and our Privacy Policy.

5. Your Responsibilities

You are responsible for:

  • Your account users

  • Your Customer Data

  • Your customer lists

  • Your message content

  • Your social media content

  • Your review request practices

  • Your use of AI-generated content

  • Your compliance with applicable laws

  • Your compliance with third-party platform terms

  • Obtaining all required consents from customers and recipients

You are solely responsible for reviewing, approving, and verifying all messages, review responses, social media posts, AI-generated content, and other content before sending or publishing it.

6. Acceptable Use

You may not use Review Gopher to:

  • Violate any law or regulation

  • Send spam or unlawful messages

  • Send messages without required consent

  • Upload unlawful, harmful, misleading, defamatory, obscene, infringing, or deceptive content

  • Impersonate any person or entity

  • Misrepresent your business, identity, affiliation, or services

  • Violate privacy, publicity, intellectual property, or other rights

  • Harvest, scrape, or collect data without authorization

  • Interfere with or disrupt Review Gopher

  • Attempt to gain unauthorized access to any system or account

  • Reverse engineer, copy, or misuse Review Gopher

  • Circumvent usage limits, security controls, or access controls

  • Use Review Gopher to build a competing product

  • Use Review Gopher in a way that damages our reputation or relationships with service providers

  • Violate Meta, Google, SMS carrier, payment processor, or other third-party platform rules

We may investigate suspected violations and suspend or terminate access as described in these Terms.

7. Review Management and Reputation Practices

Review Gopher may help businesses request, monitor, manage, and respond to reviews.

You agree not to use Review Gopher to:

  • Create fake reviews

  • Purchase fake reviews

  • Request reviews from people who did not interact with your business

  • Impersonate customers or reviewers

  • Post misleading review responses

  • Offer incentives for reviews where prohibited

  • Engage in review gating where prohibited

  • Suppress negative reviews in violation of platform rules or law

  • Misrepresent ratings, testimonials, or customer feedback

  • Violate Google, Meta, Yelp, Trustpilot, BBB, FTC, or other applicable review platform rules

You are responsible for ensuring your review practices comply with applicable laws and platform policies, including FTC rules and guidance related to endorsements, testimonials, and deceptive practices.

8. SMS Messaging Terms

Review Gopher may allow you to send SMS or text messages to customers or other recipients.

8.1 Consent Required

You are responsible for obtaining and maintaining all consents required to send SMS messages, including prior express written consent where required by law.

You may not upload or message any phone number unless you have the legal right and required consent to do so.

8.2 Compliance Responsibility

You are responsible for complying with all applicable SMS laws, carrier rules, and industry standards, including:

  • Telephone Consumer Protection Act

  • CTIA guidelines

  • A2P 10DLC requirements

  • Do Not Call rules

  • Quiet hours

  • Consent and disclosure requirements

  • Opt-out requirements

  • Marketing and transactional message rules

  • Any applicable state, federal, or international messaging laws

You must maintain records of recipient consent and provide them to us upon request if needed for legal, carrier, or compliance purposes.

8.3 Required SMS Disclosures

You are responsible for providing clear SMS disclosures wherever recipients opt in, including:

  • The identity of the sender

  • The types of messages recipients will receive

  • That message and data rates may apply

  • That message frequency may vary

  • That recipients can reply STOP to opt out

  • That recipients can reply HELP for help

  • A link to your Privacy Policy and Terms & Conditions, where required

8.4 Opt-Outs

Recipients may opt out of SMS messages by replying STOP. You must honor all opt-out requests, including requests received outside Review Gopher.

You may not re-add or message opted-out recipients unless they provide valid renewed consent.

8.5 Carrier Disclaimer

Message and data rates may apply. Message frequency may vary. Carriers are not liable for delayed or undelivered messages.

8.6 Prohibited SMS Content

You may not use Review Gopher to send messages that include or promote:

  • Illegal products or services

  • Fraudulent or deceptive offers

  • Hate, harassment, or abusive content

  • High-risk financial services

  • Debt collection content where prohibited

  • Cannabis, CBD, controlled substances, or illegal drugs

  • SHAFT content where prohibited by carrier rules

  • Phishing, malware, or credential collection

  • Content that violates carrier or platform policies

We may suspend SMS functionality if we believe your use may violate law, carrier rules, or these Terms.

9. Email Messaging

If you use Review Gopher to send emails, you are responsible for complying with applicable email marketing laws, including CAN-SPAM and any other applicable laws.

You must not send email to recipients who have opted out or where you do not have a lawful basis to contact them.

10. Google Integrations

Review Gopher may allow you to connect Google services, including Google Business Profile.

By connecting a Google account, you authorize Review Gopher to access, use, store, and process Google data as described in our Privacy Policy and as permitted by Google’s applicable terms and policies.

You agree not to use Review Gopher in a way that violates Google’s terms, policies, or API requirements.

Review Gopher’s use and transfer of information received from Google APIs will adhere to the Google API Services User Data Policy, including the Limited Use requirements.

You may revoke Review Gopher’s access through your Google account settings or through Review Gopher, where available.

11. Meta, Facebook, and Instagram Integrations

Review Gopher may allow you to connect Facebook Pages, Instagram Business Accounts, and other Meta assets.

By connecting a Meta account or asset, you authorize Review Gopher to access, use, store, and process Meta data as described in our Privacy Policy and as permitted by Meta’s applicable terms and policies.

You agree that:

  • You are authorized to connect the Facebook Page, Instagram account, or Meta asset

  • You will comply with Meta’s terms, policies, and community standards

  • You will not publish unlawful, infringing, misleading, or prohibited content

  • You will not use Review Gopher to spam, manipulate engagement, or violate Meta platform rules

  • You are responsible for all content you create, schedule, approve, or publish through Review Gopher

Review Gopher will not publish to your connected Facebook or Instagram accounts unless you authorize the connection and create, schedule, approve, or otherwise initiate the publishing action.

You may disconnect Meta integrations at any time through Review Gopher or your Meta account settings.

12. Social Media Publishing

If you use Review Gopher to create, schedule, or publish social media content, you are responsible for:

  • The accuracy of the content

  • The legality of the content

  • Obtaining rights to images, videos, music, trademarks, logos, and other materials

  • Complying with advertising, endorsement, and disclosure laws

  • Complying with the terms of each social media platform

  • Reviewing content before publication

We do not guarantee that social media content will publish successfully, remain published, achieve a particular reach, or generate any particular result.

Third-party platforms may reject, remove, limit, flag, or restrict content at any time.

13. AI-Assisted Content

Review Gopher may provide AI-assisted tools that generate draft messages, review responses, captions, posts, or other content.

AI-generated content is provided for convenience only. You are responsible for reviewing and approving all AI-generated content before use.

You acknowledge that AI-generated content may be:

  • Inaccurate

  • Incomplete

  • Misleading

  • Offensive

  • Similar to content generated for others

  • Noncompliant with laws or platform policies

You are solely responsible for determining whether AI-generated content is appropriate, accurate, lawful, and compliant before sending, publishing, or relying on it.

You may not use AI-assisted features to generate unlawful, deceptive, infringing, defamatory, discriminatory, harassing, or otherwise harmful content.

14. Third-Party Services

Review Gopher integrates with or relies on third-party services, which may include Google, Meta, Facebook, Instagram, SMS providers, email providers, payment processors, AI providers, hosting providers, analytics providers, and other vendors.

Your use of third-party services may be subject to separate terms, policies, fees, limits, and availability.

We are not responsible for:

  • Third-party outages

  • API changes

  • Platform restrictions

  • Account suspensions by third-party platforms

  • Content removals by third-party platforms

  • Delivery failures caused by third-party providers

  • Changes to third-party service rules, fees, or functionality

We may modify, suspend, or discontinue integrations if required by third-party providers or if we determine continued operation would create legal, security, compliance, or business risk.

15. Fees, Billing, and Subscriptions

Some Review Gopher features require a paid subscription.

By subscribing, you authorize us or our payment processor to charge your payment method for applicable fees, taxes, usage charges, and renewal fees.

Unless stated otherwise:

  • Fees are billed in advance

  • Subscriptions renew automatically

  • Fees are non-refundable except as required by law or expressly stated

  • You are responsible for keeping payment information current

  • We may suspend or terminate service for failed or overdue payments

We may change prices or subscription plans by providing notice as required by law or as otherwise stated at the time of change.

16. Free Trials and Promotions

We may offer free trials, beta access, discounts, or promotions. We may modify or end these offers at any time.

At the end of a free trial, your subscription may begin automatically if you provided a payment method and agreed to automatic billing.

17. Taxes

Fees do not include taxes unless stated otherwise. You are responsible for applicable taxes, duties, levies, or governmental assessments associated with your purchase or use of Review Gopher.

18. Intellectual Property

Review Gopher and its software, design, technology, features, trademarks, logos, and content are owned by Review Gopher or its licensors.

These Terms do not grant you ownership of Review Gopher or any intellectual property rights in Review Gopher.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use Review Gopher for your internal business purposes.

19. Feedback

If you provide suggestions, ideas, feedback, or recommendations, you grant Review Gopher the right to use them without restriction or compensation.

20. Confidentiality

You may receive non-public information about Review Gopher, including product plans, beta features, pricing, technical information, or business information.

You agree not to disclose confidential information except as required to use Review Gopher or as required by law.

21. Privacy

Your use of Review Gopher is subject to our Privacy Policy.

By using Review Gopher, you agree that we may collect, use, disclose, and process information as described in the Privacy Policy.

22. Data Deletion and Account Closure

You may request account closure or deletion of personal information by contacting us at [email protected] or following the instructions on our Data Deletion page: reviewgopher.com/data-deletion

We may retain certain information as necessary for:

  • Legal compliance

  • Security

  • Fraud prevention

  • Billing and tax records

  • Dispute resolution

  • Enforcement of these Terms

  • Backup and disaster recovery

  • Compliance with platform or carrier rules

Deleting your Review Gopher account may not delete content already published to third-party platforms. You are responsible for removing published content directly from those platforms if desired.

23. Suspension and Termination

We may suspend or terminate your access to Review Gopher, in whole or in part, if:

  • You violate these Terms

  • You fail to pay fees

  • You violate applicable law

  • You violate third-party platform terms

  • You send spam or unlawful messages

  • You engage in fraudulent, abusive, or deceptive activity

  • Your use creates legal, security, compliance, reputational, or operational risk

  • Required by a third-party platform, carrier, provider, court, or regulator

  • We discontinue the service or a material feature

Upon termination, your right to use Review Gopher will end immediately. Certain sections of these Terms will survive termination, including payment obligations, ownership, confidentiality, disclaimers, limitations of liability, indemnification, and dispute provisions.

24. Disclaimers

Review Gopher is provided “as is” and “as available.”

To the maximum extent permitted by law, we disclaim all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, accuracy, and reliability.

We do not warrant that:

  • Review Gopher will be uninterrupted or error-free

  • Review Gopher will meet your requirements

  • Messages will always be delivered

  • Social media posts will always publish successfully

  • Third-party integrations will remain available

  • Reviews, ratings, rankings, engagement, or business outcomes will improve

  • AI-generated content will be accurate or compliant

  • Data will never be lost or corrupted

You are responsible for maintaining your own backups of important data.

25. Limitation of Liability

To the maximum extent permitted by law, Review Gopher and its officers, directors, employees, contractors, agents, affiliates, licensors, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, lost data, loss of goodwill, business interruption, or cost of substitute services.

To the maximum extent permitted by law, our total liability for any claim arising out of or relating to Review Gopher or these Terms will not exceed the amount you paid to Review Gopher in the three months before the event giving rise to the claim.

Some jurisdictions do not allow certain limitations of liability, so some limitations may not apply to you.

26. Indemnification

You agree to defend, indemnify, and hold harmless Review Gopher and its officers, directors, employees, contractors, agents, affiliates, licensors, and service providers from and against any claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to:

  • Your use of Review Gopher

  • Your Customer Data

  • Your customer lists

  • Your messages

  • Your social media content

  • Your review practices

  • Your AI-generated or AI-assisted content

  • Your violation of these Terms

  • Your violation of law

  • Your violation of third-party platform terms

  • Your failure to obtain required consent

  • SMS, email, or marketing compliance claims

  • Intellectual property, privacy, publicity, or consumer protection claims related to your content or use of Review Gopher

27. Beta Features

We may offer beta, preview, or experimental features. These features may be incomplete, unstable, or discontinued at any time.

Beta features are provided “as is” and may be subject to additional terms.

28. Changes to Review Gopher

We may update, modify, suspend, or discontinue Review Gopher or any feature at any time.

We are not liable for changes, suspension, or discontinuation of features, integrations, or third-party services.

29. Changes to These Terms

We may update these Terms from time to time. When we update them, we will revise the “Last Updated” date above.

If changes are material, we may provide additional notice, such as by email or in-app notice.

Your continued use of Review Gopher after updated Terms become effective means you accept the updated Terms.

30. Governing Law

These Terms are governed by the laws of the State of Kentucky, without regard to conflict of law principles.

31. Dispute Resolution

Before filing a claim, you agree to first contact us at [email protected] and attempt to resolve the dispute informally.

If the dispute cannot be resolved informally, the parties agree to resolve disputes in the state or federal courts located in Jefferson County, Kentucky, unless applicable law requires otherwise.

33. Assignment

You may not assign or transfer these Terms without our prior written consent.

We may assign these Terms in connection with a merger, acquisition, reorganization, sale of assets, financing, or by operation of law.

34. Severability

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.

35. No Waiver

Our failure to enforce any provision of these Terms is not a waiver of our right to enforce that provision later.

36. Entire Agreement

These Terms, together with our Privacy Policy and any applicable order form or subscription terms, constitute the entire agreement between you and Review Gopher regarding the service.
